These Terms govern your use of VIP-Sense, provided by AYYAN GROUP OF COMPANIES (AGOC) ("we", "us"). By creating an account or using the service, you ("the Brand") agree to these Terms.

1. The service

VIP-Sense is a customer-recognition platform that helps retail businesses recognise and serve customers who have consented to join their VIP programme. It includes on-site recognition software, a web dashboard, and cloud storage of your business data.

2. Your account

• You must provide accurate information and keep your login credentials secure.
• You are responsible for the activity of users you invite (branch heads, staff) and for the access you grant them.
• You must be authorised to operate the store(s) where VIP-Sense is deployed.

3. Your responsibilities regarding customer data

You are the controller of your customers' data. You agree to:

• Obtain clear consent before enrolling any customer, and honour withdrawals of consent.
• Display appropriate in-store notice that AI-assisted recognition is in use.
• Use the service only for legitimate customer-service purposes — never for unlawful profiling, discrimination, or surveillance of non-consenting individuals.
• Comply with applicable data-protection laws in your jurisdiction.

4. Fees & billing

• The service is billed per store, monthly or yearly, plus a one-time hardware setup fee per store.
• A free pilot period may be offered; after it ends, continued use requires a paid subscription.
• Fees are non-refundable except where required by law. You can cancel at any time; access continues until the end of the paid period.

5. Hardware

Each store uses an on-site device connected to your cameras. Ownership, warranty and replacement terms for hardware are set out in your setup agreement.

6. Availability & support

We aim for high availability and provide priority support with every subscription. Recognition is designed to keep working during internet outages via on-site processing, syncing when the connection returns.

7. Acceptable use

You agree not to reverse-engineer, resell, or misuse the service, and not to upload unlawful content or attempt to breach security or access other Brands' data.

8. Intellectual property

VIP-Sense, its software, and branding remain our property. Your business data remains yours. You grant us the limited rights needed to operate the service for you.

9. Limitation of liability

The service is provided on a commercially reasonable basis. To the maximum extent permitted by law, our liability is limited to the fees you paid in the preceding three months. We are not liable for indirect or consequential losses, or for how you configure consent and use the service.

10. Termination

Either party may terminate as described in your subscription. On termination, you may export your data, after which we will delete it in line with our Privacy Policy.

11. Changes

We may update these Terms; material changes will be communicated to Brands. Continued use after changes means acceptance.
